�ARTICLES OF INCORPORATION
OF
THE METROLINA PHOENICIAN CLUB
A NON-PROFIT CORPORATION
I, the undersigned natural person of the age of eighteen years
or more, do hereby associate myself into a business corpqration
under the laws of the State of North Carolina, as contained in
Chapter SSA of the General Statutes of North Carolina, entitled
"Non-Profit Corporation Act", and the several amendments thereto,
and to that end do hereby set fo~th:

NAME
The name of the corporation is

DURATION
The period of duration of the cnrporation shall be perpetual.
III
PURPOSE
The purposes for which the corporation is formed are
exclusively for educational and charitable purposes within the
meaning of Section SOI(c) (3) of the Internal Revenue Code, and
without limiting the foregoing but rather in enlargement and in
extension thereof, for the following purposes:
(a) To promote and support humanitarian efforts aimed at
restor ing a peacef ul way of life in r,ebanon.
(b) To provide scholarships for Lebanese students who wish to
pursue a course of education at some college, university, trade or
technical school, or for such other charitable, scientific,
literary or educational purposes which will benefit such students.
(c)
To preserve the Lebanese heritage and traditions.
(d) To do any other act or thing incidental to or connected
with the foregoing purposes or in advancement thereof, but only as
permitted under the North Carolina Non-Profit Corporation Act.
Notwithstanding any other provisions of these articles, the
corporation shall not carryon any activities not permitted to be
conducted or carried on by an organization exempt from Federal
�income tax under Section SOl(c) (3) of the Internal Revenue Code of
1986 as it now exists or may hereafter be amended, or by an
organization, contributions to which are deductible under Section
l70(c)(2) of such Code as it now exists or may hereafter be
amended.
MEMBERSHIP
The corporation shall have members; however, no stock shall be
issued evidencing their membership.

ELECTION OF DIRECTORS
The directors of the corporation shall be elected or appointed
in the manner and for the ~erms provided in the By-Laws.

NET EARNINGS
No part of the net earnings of the corporation shall inure to
the benefit of any officer, member, or director of the corporation;
and upon dissolution of the corporation the assets thereof shall
after all of its liabilities and obligations have been discharged
or adequate provision made therefor, be distributed to one or more
organizations wnich themselves are exempt as organizations
described in Sections SOI(c) (3) and l70(c) (2) of the Internal
Revenue Code of 1986, or to the Federal, state, or local government
for exclusive pUblic purposes.

The address of the initial registered office of the
corporation is 192 South Street, Gastonia, Gaston County, North
Carolina; and the name of the initial registered agent at such
address is T. J. Solomon II.

ARTICLE I:
Membership
A. Qualifications:
The membership of this corporation shall consist of:
1. The members of the Executive Board
2. The members of the Administrative Council of area directors.
3. Members at large who pay annual dues and agree to adhere to
the By-Laws of this corporation.
B. Annual Dues:
The annual dues will be determined by the Executive Board. Active
members shall be requited to keep their dues current.
Failure to pay
dues will result in loss of membership.
C. Suspension and Expulsion of Members:
Any member of the corporation may be suspended or expelled by the
Executive Board for good Cause.
D. Common Objectives:
All members shall agree to be bound by the Common Objectives prepared
and approved by the Executive Board in January 1987. Amendment to these
objectives shall be prepared by the Executive Board and approved by
two thirds a majority of the assembly.
ARTICLE II:
Meeting of Members
A. Annual Business Meeting:
The membership of the corporation shall meet at least once each calander
year. Time and place to be set by the Executive Board.
B. Notice of Annual Business Meetings:
Notice of all annual meetings shall be mailed to all active members of at
least 15 days prior to the meeting.
C.
Voting:
All active members defined as eighteen years of age or older, shall have
one vote. Voting members will be required to be present to exercise their
voting privilege. A simple majority of members shall be required on all
voting matters considered at each annual meeting.
�ARTICLE III: Executive Board:

A. Number and Qualifications:
The number of members in the Executive Board shall be 12:1all of whom shall
be members of the corporation at large. The number of members of the Executive
Board may be changed by amendment to these By-Laws.
B. EJection of the Executive Board:
The Executive Board shall be elected at each annual business meeting of the
members. The election shall be by ballot. All Board members shall be elected
for a one year term.
C. Titles and Responsibilities of the Executive Board:
The Executive Board shall consist of:
President
Vice President
Treasurer
Secretary
EJected members of the Board and all committee chairmen elected by the
Executive Board.
- The President shall preside over all Dusiness meetings of the Executive
Board and membership.
- The Vice President shall preside at all meetings in the absence of the
President and shall be responsible for the Administrative Council of Area
Directors.
- The Treasurer shall keep an accurate record of receipts and expenditares,
and shall present a report at each regular meeting of the Executive Board.
The Treasurer shall also insure that all funds designated for the Lebanese
Scholarship Program and the Humanitarian Relief Projects are disposed properly.
- The Secretary shall keep accurate minutes of all Executive Board meetings
and business meetings correspondance. The Secretary shall also be
responsible correspondance.
Committee chairs shall be appointed by the President with the consent of the Executive
Board.
1. Special Events Committee shall be responsible for any and all social activities
of the Club (ie,. dinner, receptions, dances, etc). The Special Events
Committee shall work closely with the Lebanese Scholarship Committee and/or
the Humanitarian Aid Committee when special events are fund raisers for
either cause.
2. Lebanese Scholarship Committee shall be responsible for any and all fund
raising efforts for the Lebanese Scholarship Program.
3. Humanitarian Aide Committee shall be responsible for any and all fund raising
efforts to help Children's Relief Project.
�4. Membership Committee shall be responsible for recruiting new members and
maintaining an accurate membership directory. The committee will have a
chairperson who reports to the Vice President directly. It will be comprised
of one area director from each county or geographical area in which members
reside in North and South Carolina. These area directors shall be appointed
by the Vice President and shall be responsible for communicating all information
regarding members from their area to the Vice President.
5. Publications Editor shall be responsible for publications, public relations
and distribution of the newsletter.
6. Committee Co-Chairmen to be designated by the Committee Chairmen to assist
in performing their duties. The responsibilites and duties of the Committee
Chairmen and officers as well as establishing new committees, shall be
added, ammended, and modified from time to time by majority vote of the
Executive Board.
D. COMPENSA TI av:
All Executive Board members shall perform their duties without compensation.
E. POWERS OF THE EXECUTIVE BOARD:
Except as otherwise provided in the Articles of Incorporation or in these By-Laws,
all the powers, duties and functions of the corporation, conferred by the Articles
of Incorporation, these By-Laws, statues, common law, court decisions, or otherwise
shall be exercised, performed or controlled by the Executive Board.
ARTICLE IV:
A.
Selection Process
Officers
The Executive Board shall elect the President, Vice President, Treasurer,
Secretary, by majority from the elected Executive Board members.
B.
Chairperson
Shall be appointed by the President and approved by the majority of the
Executive Board.
C.
Co-Chairperson
Shall be appointed at the request of the committee and approved by the
Executive Board.
D.
Publication Editor
Shall be appointed by the President and approved by the Executive Board.
F.
Termination
Failure to attend three consecutive meetings without an acceptable excuse
shall constitute a tender of resignation. Vacancies by death or resignation
shall be filled for the unexpired term by majority vote of the Executive
Board.
ARTICLE V:
Amendments
These By-Laws may be altered, amended or repealed by a majority vote of the
voting members present at a meeting called for that purpose or at any
meeting of the members.

OUR COMMON OBJECTIVES
In addition to the shared enjoyment of our Leb~"ese Christian heritage and being
a social organization dedicated to the service of our community, we as members of
the Metrolina Phoenician Club pledge our supp~rt to the following objectives:
1.
To disseminate information about the Lebanese homeland without
regard to political and religious differences.
2.
To trace the contribution of Lebanese people to the world and to
contemporary Western countries.
3.
To support the close ties between the United States and Lebanon
from the following common perspectives:
- Humanitarian values
- Democratic beliefs
- Business and social ethics
4.
To create a better understanding of the plight of all Lebanese
within our homeland.
5.
To establish a humanitarian relief fund to aid war stricken children
of Lebanon.
6.
To establish a scholarship fund.
7.
To seek world wide support among peace-loving people who have an
interest in the return of a free unitad and democratic Lebanon.

These materials were provided by Marsha El-Khouri Shiver and primarily relate to the life of her father, Joseph Maroun El-Khouri, and his family in Lebanon and in the United States. <br />
<h5>Biography</h5>
Joseph Maroun El-Khouri was born in 1924 in Kour, Batroun, Lebanon and Mariam Thomee Yazbek El-Khouri, one of seven children. His father, Reverend Joseph Michael Maroun El-Khouri was a Maronite priest, and at least one sibling, Sister Victorine El-Khouri, followed his example and joined religious orders. <br /><br />Joseph served as an intelligence agent and interpreter for Great Britain during World War II. In 1949, Joseph travelled to Minneapolis, Minnesota to help settle an uncle’s estate. Initially Joseph had no intention of immigrating permanently to the United States, but soon after he arrived he met and fell in love with Rose Isaac while visiting relatives who lived in the large Lebanese community located in Wilkes-Barre, Pennsylvania. Rose was the daughter of Thanios (Thomas) Isaac and Moura (Nora) Lawandos Isaac, who immigrated to the United States in 1912 and 1914, respectively, and were married in 1917. Thanios Isaac supported his wife and five children by working various laboring jobs, including for the railroad and a local wiremill. Thanios Isaac passed away in 1939. <br /><br />Joseph and Rose married in Rose’s hometown in 1950, and moved to Minneapolis where they operated a grocery store until 1953. Joseph was naturalized in 1954 with the help of his friend Vice President Hubert Humphrey, at the time a Minnesota senator. In 1955, Joseph and Rose moved to Andrews, North Carolina, to be closer to Rose’s sister Bessie Isaac Jabaley, who was living near her husband’s family in Copper Hill, TN. The Jabaley’s helped the growing El-Khouri family establish themselves in their new home by making Joseph the manager of their department store, Jabaley’s, which Joseph purchased and renamed to Khouri’s in 1965. The store remained open until 1989. <br /><br />Joseph quickly established himself as a prominent civic leader in North Carolina. He served on a number of boards and service organizations including: the Andrews Lion Club, Western Carolina University Board of Visitors, Cherokee County United Way, the Andrews Chamber of Commerce, and the Daniel Boone Council of Boy Scouts. Joseph was a devoted Democrat, even serving, with his eldest son George, as an elected delegate to the 1988 Democratic National Convention in Atlanta. In addition to these civic and political accomplishments, Joseph and Rose were pillars of the Catholic community in North Carolina, holding the town’s first Catholic masses in their own home, and donating the land upon which the Holy Redeemer Catholic Church was built in Andrews, North Carolina. <br /><br />Joseph and Rose had seven children: George Maron El-Khouri, Theresa El-Khouri Martin, Mariam El-Khouri Gerber, Marsha El-Khouri Shiver, Barbara El-Khouri, Catherine El-Khouri, and Anthony El-Khouri. Joseph passed away on July 22, 2012; at the time of collection acquisition (2012), Rose El-Khouri was still living. Since his passing, Joseph El-Khouri’s contributions to North Carolina have been recognized locally, and his legacy has been carried forth by his children and grandchildren.<br />
<h5>Scope and Content</h5>
The collection consists of photographs, letters, documents, and articles relating to the life of Joseph Maroun El-Khouri, his wife Rose Isaac El-Khouri, and his children. The material details Joseph's career and community contributions as well as providing insight into multiple generations of Lebanese-American family life.<br /><br />The collection also contains photographs and letters relating to Joseph El-Khouri’s relatives in Lebanon, as well as materials from Rose Isaac El-Khouri’s family in Wilkes-Barre, Pennsylvania.
